SUB-CONSULTANT AGREEMENT

This Sub-Consultant Agreement ('Agreement') is entered into as of March 1, 2026 between ZGF Architects LLP ('Prime Consultant') and WSP USA Inc. ('Sub-Consultant').

1. SCOPE OF SERVICES
Sub-Consultant shall provide Mechanical, Electrical, and Plumbing (MEP) engineering services for the Cascadia Headquarters project located at 400 SW 6th Ave, Portland, OR 97204.

2. COMPENSATION
Prime Consultant shall pay Sub-Consultant a lump sum fee of $285,000 for the complete scope of services described in Exhibit A. Invoices shall be submitted monthly. Payment due within 45 days of receipt of invoice, contingent upon Prime Consultant's receipt of corresponding payment from Owner (pay-if-paid).

3. PROFESSIONAL LIABILITY
Sub-Consultant's liability to Prime Consultant for professional errors or omissions shall be limited to $500,000 or the total fee paid under this Agreement, whichever is greater.

4. INSTRUMENTS OF SERVICE
All drawings, specifications, and other documents prepared under this Agreement shall become the property of Prime Consultant upon first payment by Prime Consultant to Sub-Consultant.

5. TERMINATION
Either party may terminate this Agreement for convenience with 10 days written notice. Sub-Consultant shall be compensated for services performed through the date of termination.
